Article I – Organization Name and Purpose
The name of this organization is the Londonderry Quick Sticks Booster Club.
The purpose of the Londonderry Quick Sticks is to exclusively provide Londonderry High School and Middle School girls interested in lacrosse the opportunity to flourish as student athletes while attending Londonderry High School and Middle School. This organization will abide by all School District policies and procedures.
Article II – Membership and Dues
Members will include parents and guardians of girls who are currently participating in the Londonderry High School and Middle School girl's lacrosse program.
Annual membership dues, which will be an amount designated by the current officers for that year, will be collected at the beginning of each girls lacrosse season.
Article III – Executive Board and Officers
The Londonderry Quick Sticks will have an Executive Board with who will be responsible for setting policy and governing this organization. The board will also hold the power to steer and conduct the business of the club.
1. The Executive Board shall consist of a minimum of 5 and no maximum number of officers. The offices shall include President, Vice President, Treasurer, Secretary, Fundraising Chair, Membership Chair, Social Media/Public Relations Chair, and Middle School Representative. If vacancies among chair positions occur and there are no candidates for the vacant positions, currently serving officers may assume the responsibilities of the vacant positions.
2. All officers will serve for a one (1) year term, with a two (2) term limit in any one office. A term shall consist of one
year, beginning October 1 through September 30.
3. Each Board Member shall have one, equal vote. Voting requires a quorum which shall be established by a presence
of 2/3 majority of the Executive Board. Voting may take place at Board Meetings, via email or any other form of
electronic communication where officers’ votes may be seen by all officers, or at impromptu meetings. A simple
majority is required for a vote to pass.
4. Officers shall not be compensated for their service except for reimbursement of reasonable expenses.
5. Selection of Officers
● A proposed slate of officers for the year shall be presented and voted on at the first regular board meeting which is to be held in September. This meeting requires a quorum of a 2/3 majority of the existing Executive Board.
● Nominations and elections must be announced to the general membership a via email or some other form of mass communication to which all members have access.
● Members interested in running for office should submit their name to the Secretary and/or President by September 1 for nomination.
● Each officer must be nominated by a member of the Executive Board, the nomination must be seconded by a member of the Executive Board, and voted in by a majority of those attending this meeting in order to be elected.
● A first year incumbent shall have the first Right of Refusal for a second term in the same position subject to confirmation by 2/3 of the existing board.
● Officers must have an athlete currently participating in the LHS or LMS Girls’ Lacrosse Program.
● Coaches may not hold Executive Board positions due to conflict of interest.
1. Removal of Officers
● Any officer may be removed from their position for misconduct, breach of confidentiality, failure to disclose a conflict of interest or failure to appropriately exercise the duties of a board member.
● A removal can be initiated by any Quick Sticks Booster Club member by submitting a petition for removal signed by a minimum of 30 of the membership. Upon confirmation of the signatures by the secretary, a vote for removal will be held within 30 days. A two thirds majority of the Executive Board in favor of removal is required for an officer to be removed from the board.
Article IV – Executive Board Duties and Responsibilities

Duties & Responsibilities
President
Presides at board meetings, appoints committee’s chairpersons, and ensures proper records are maintained and filed as necessary. Oversee the full participation of board members and move to fill board vacancies. Responsible for email communication to High School and Middle School coaches, parents, and membership regarding booster club matters.
Vice President
Presides at board meetings, acts as chief board officer in president's absence. Supports the president in overseeing all booster club activities.
Treasurer
Oversees the financial matters of the organization and insures that monies are deposited promptly in the appropriate accounts. Supports budgetary development as well as maintain financial records, annual state and federal tax reporting and filing, and preparing and distributing checks. It is the duty of the Treasurer, along with the Secretary, to sign off on any disbursement of funds prior to the funds being released.
Secretary
Records and maintains meeting minutes and ensures necessary reporting and filing to state and federal authorities are made in a timely manner with support from treasurer. Fundraising Chair
Oversees fundraising efforts and opportunities for Booster Club activities, events, and programs. Solicits help from other Quick Sticks members.
Membership Chair
Coordinates outreach to athletes’ families to ensure maximum Quick Sticks Booster Club membership; coordinates membership incentives; collects membership forms and dues; develops and maintains membership email list and distributes this list to the President and Secretary. Communicates booster club information to coaches, players, parents and guardians.
Social Media/PR Chair
Handles all external communication to coaches, parents, players, and local media, maintains website, and other responsibilities as needed using social media.
Middle School Rep
Represents the booster club to the middle school program. Coordinates outreach to athletes’ families to ensure maximum Quick Sticks Booster Club membership; collects membership forms and dues; develops and maintains membership email list and distributes this list to the President and Secretary, plans Middle School end of season banquet(s).
Article V - Meetings
Meetings will be held monthly and governed by parliamentary procedures.
1. The Executive Board shall be allowed to meet as needed, or to call a general membership meeting as needed.
2. A quorum of 2/3 majority of the Executive Board being present is required for voting. Issues shall pass with a simple majority of votes.
3. Voting will take place by either voice vote, show of hands, or by proxy.
Article VI – Scholarships
Scholarships will be awarded annually to selected graduating seniors who play lacrosse at Londonderry High School.
1. The Executive Board shall establish the amount and number of scholarships, the application process, and eligibility criteria annually at the budget meeting.
2. The Board shall select a Scholarship Chairperson who does not have a daughter who is a senior. The Chairperson will moderate the committee, but not have a voice or vote regarding the applicants.
3. The Chairperson will select 3-5 committee members to review the applications. Committee members should not be the parent or guardian of a senior player. Committee members do not have to be executive board members.
4. The Scholarship Committee will make recommendations regarding the number and amount of scholarships being awarded. Scholarship will be no less than $500 for all eligible players

Article VII – Committees
Permanent, standing or other ad hoc committees will be determined as needed by board and will be subject to the ongoing needs of the organization.
1. Chairpersons will be selected by the Executive Board.
2. Committee chairpersons are not voting members of the Executive Board, but Executive Board members may be committee chairs.
3. Committees include:

● Senior Night
● End-of-Season Banquet
● Audit
Article VIII – Audit Committee
At the end of the fiscal year, an audit of the Quick Sticks Booster Club financial records shall be conducted. The audit committee will consist of non-executive board members who are not involved in day-to-day financial activities and who are approved by the President. The audit will be performed by a group of three individuals; however, if the membership size does not allow, the audit may be performed by two individuals. The primary objectives of the audit are to:
1. Verify the accuracy of the Treasurer’s financial reports.
2. Ensure that the organization’s cash balances are accurate.
3. Determine the established procedures for handling funds have been followed.
4. Ensure that expenditures occurred in a manner consistent with the organization’s by-laws.
5. Ensure that all revenues have been appropriately received and recorded.
Article IX – Amendments to Bylaws
All proposed amendments to these by laws must be presented in writing at a regular or special meeting no less than 30 days prior to being acted upon.
1. Notification of the vote must be made to the general membership via email or some other form of mass communication to which all members have access.
2. A quorum of the Executive Board (simple majority) and the general membership present at the meeting must approve all amendments by a majority vote.
3. Any amendment to existing by-laws will be subject to approval of a vote of 2/3 majority of officers.
4. When by-laws are amended, a revised copy containing revisions will be signed and dated by the president and secretary and posted to the official Booster Club website.
Article X - Conflict of Interest Statement
Any possible conflict of interest on the part of any officer on the Executive Board shall be disclosed to the Executive Board and made a matter of record. When a conflict of interest exists, the involved officer(s) shall abstain from voting. The meeting minutes shall reflect that a disclosure was made, the abstention from voting, and the actual vote itself. The Board will comply with all requirements of New Hampshire law in this area.
Article XI - Dissolution
Should the Londonderry Quick Sticks dissolve, remaining assets shall be distributed to another Londonderry Lacrosse Booster Club by which is associated with Londonderry High School or Londonderry Youth Lacrosse and in compliance with the State of New Hampshire tax-exempt laws.
